1. Acceptance of Terms
By accessing or using the services provided by Diligent Marketing Solutions (“DMS”), you agree to be bound by these Terms and Services. If you do not agree to these terms, please do not use our services.
2. Services
DMS provides digital marketing services, including but not limited to campaign management, content marketing, website development, digital advertising, lead generation, and marketing automation. The specific services provided will depend on the package selected by the client.
3. Pricing and Payment
3.1 DMS uses a transparent point system for pricing its services. Each service is assigned a point value based on its complexity and time commitment.
3.2 Clients can choose from pre-designed packages or customize their services based on their specific needs.
3.3 Standard payment terms are net 30 days, unless otherwise agreed upon.
4. Client Responsibilities
4.1 Clients are responsible for providing accurate and timely information necessary for DMS to perform its services.
4.2 Clients must ensure they have the necessary rights to any content or materials provided to DMS for use in marketing campaigns.
5. Intellectual Property
5.1 DMS retains ownership of all intellectual property created in the course of providing services, unless explicitly agreed otherwise.
5.2 Clients grant DMS a license to use their logos, trademarks, and other materials necessary for the provision of services.
6. Confidentiality
DMS agrees to maintain the confidentiality of all client information and data provided in the course of service delivery.
7. Performance and Reporting
7.1 DMS will provide regular performance reports to track progress and optimize marketing strategies.
7.2 While DMS strives for excellent results, specific outcomes cannot be guaranteed due to the nature of digital marketing.
8. Term and Termination
8.1 Services will continue until terminated by either party with written notice.
8.2 Clients may pause or cancel their marketing subscription at any time.
9. Limitation of Liability
DMS’s liability is limited to the amount paid for services in the 12 months preceding any claim.
10. Modifications
DMS reserves the right to modify these Terms and Services at any time. Continued use of services after such modifications constitutes acceptance of the new terms.
11. Governing Law
These Terms and Services shall be governed by and construed in accordance with the laws of Florida. By using DMS’s services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Services.
